“Vera Bradley Oct 2024 Subscriber Giveaway” Sweepstakes (the “Sweepstakes”) OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.  PURCHASING A PRODUCT WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. SWEEPSTAKES DATES: The Sweepstakes begins at 12:00 a.m. Eastern Time (“ET”) on October 3, 2024 and ends at 11:59 p.m. ET on October 31, 2024 (the “Sweepstakes Period”). For purposes of these Official Rules, all times are given in Eastern Time.

2. ELIGIBILITY: Open to legal permanent United States residents of the fifty (50) United States and the District of Columbia who are at least the age of majority in their state of residence as of the date of entry (the “Entrant”).  Employees, officers and directors of Vera Bradley Sales, LLC (the “Sponsor”) and each of its subsidiaries and affiliates, distributors, vendors, advertising/promotion agencies, and any others engaged in the development, production, execution or distribution of the Sweepstakes, including, but not limited to, National Sweepstakes Company, LLC (the “Independent Administrator”) (all collectively referred to herein as “Sweepstakes Entities”) as well as their immediate family members (spouses, siblings, children and parents, regardless of where they live) or members of the same households (whether related or not) of such employees, officers and directors are not eligible to participate.  All federal, state, and local laws and regulations apply. Sweepstakes is void outside of the fifty (50) United States, the District of Columbia and wherever else prohibited or restricted by law.

3. TO ENTER: There are two (2) ways to receive entries into this Sweepstakes:

• EMAIL SIGN UP: Visit verabradley.com and provide your email address to sign up for Vera Bradley emails.  Sign up is free and you can opt-out at any time.  You will receive one (1) entry into the Sweepstakes for email sign up.
• TEXT SIGN UP: Sign up for text subscription by texting “TEXTVB” to 72276 to receive one (1) entry for text sign up. Provide your mobile number to receive one (1) entry into the Sweepstakes. Normal Internet access and usage charges imposed by Entrants online service may apply. Such activity will be subject to the charges pursuant to their wireless service provider’s rate plan. Entrant further understands that by participating via mobile phone, if they are a potential prize winner, the Sponsor may contact them via mobile phone, which will be subject to the charges pursuant to their wireless service provider’s rate plan. Please consult wireless service provider for more information. Entrants are solely responsible for any related equipment and Internet access charges, if any.

Regardless of the method of entry, there is a limit of two (2) entries per Entrant during the Sweepstakes Period. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different identities (ie. phone numbers or email addresses), and/or any other methods will void that Entrant’s entries and that Entrant may be disqualified from the Sweepstakes.  Entry information becomes property of Sponsor and will not be returned.  Sponsor and/or Independent Administrator will not verify receipt of entries for Entrants.

Neither Sponsor nor Independent Administrator is responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise.

Without limitation, Sponsor reserves the right in their sole discretion to disqualify any Entrant whose social media account that, in their sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Sweepstakes or any other person or entity; does not comply with these Official Rules; or if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein.

4. WINNING/ODDS: There will be one (1) random drawing held on or about November 4, 2024, three (3) grand prize winners (each a “Grand Prize Winner”) will be selected from among all eligible entries received during the Sweepstakes Odds of winning a grand prize (“Grand Prize”) will depend upon the total number of eligible entries received during the Sweepstakes Period. The random drawing will be conducted by the Independent Administrator, whose decisions are based upon its sole discretion and interpretation of these Official Rules and are final and binding in all respects.

5. NOTIFICATION/CLAIM: Potential Grand Prize Winner will be notified via e-mail or text within two (2) business days of the date in which the potential Grand Prize Winner is selected (the “Notification”). In order to claim the Grand Prize, the potential Grand Prize Winner must respond to the Notification within the time frame indicated by providing the required information requested in the Notification. In the event that: (a) the potential Grand Prize Winner fails to respond to the Notification; (b) the potential Grand Prize Winner fails to supply the required information; (c) any Notification is returned as undeliverable; and/or (d) it is determined by the Sponsor, in its sole discretion, that the potential Grand Prize Winner is not eligible in accordance with these Official Rules, such potential Grand Prize Winner will be disqualified and an alternate Grand Prize Winner will be selected at random from among all remaining non-winning eligible entries received during the Sweepstakes Period.

The Grand Prize Winner consents to the use of their name, likeness, biographical information, and voice (or any derivation thereof) in advertising worldwide without additional compensation (TN residents will not be required to sign a publicity release as a condition of winning the Grand Prize).

6. PRIZE: Each Grand Prize Winner will receive a $500 Vera Bradley gift card. Total approximate retail value (“ARV”) of the Grand Prize is $500.  Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Gift Card is subject to the terms issued by the gift card manufacturer.

     Total ARV of all prizes to be awarded is $1,500.

PRIZE RESTRICTIONS:  Grand Prize cannot be substituted, assigned, transferred, or redeemed for cash except at Sponsor’s sole discretion or as otherwise provided herein.  Sponsor reserves the right to substitute Grand Prize with a prize of comparable or greater value if advertised Grand Prize should become unavailable.  Grand Prize Winner is required to comply with any and all applicable federal, state, and local laws, rules and regulations. The Grand Prize Winner is solely responsible for any taxes on the Grand Prize that has been received, including but not limited to any and all federal, state and local taxes.  No more than the number of Grand Prizes as set forth in these Official Rules will be awarded.

7. GENERAL RULES OF PARTICIPATION: By participating in this Sweepstakes, Entrants and Grand Prize Winners [a] release each and all of the Sweepstakes Entities, from any and all liability, damages or causes of action (however named or  described)  with  respect  to  or  arising  out  of participation in the  Sweepstakes,  and/or  the  receipt  or use/misuse of the prize awarded, including, without limitation,  liability for  personal  injury,  death  or  property damage; and [b] agree to be bound by these Official Rules and the decisions of the Sponsor/Independent Administrator, which are final in all respects and not subject to appeal. Sponsor reserves the right permanently to  disqualify from this  Sweepstakes  any  Entrant or Grand Prize Winner it believes has violated  these  Official  Rules. Sponsor and/or Sweepstakes Entities are not responsible for lost, late, misdirected, undeliverable or incomplete  Entries,  whether  due  to  system  errors  or  failures, faulty transmissions or  other telecommunication malfunctions,  Entries  not  received resulting  from  any  hardware  or  software failures  of  any  kind,  lost  or  unavailable  network  connections,  failed,  incomplete  or  garbled computer   or   telephone   transmissions,   typographical   or   system   errors   and   failures,   faulty transmissions,  technical  malfunctions,  or  otherwise.  Sponsor  may  prohibit  an  Entrant  from participating in the Sweepstakes or winning the prize if, in its sole discretion, it determines that said Entrant  is  attempting  to  undermine  the  legitimate  operation  of  the  Sweepstakes  by  cheating, hacking, deception, or  other  unfair  playing practices, or  intending to  annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. If for any reason this Sweepstakes is not  able  to  be  conducted as  planned,  including,  but  not  limited  to,  by  reason  of  infection  by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of  the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel,  terminate,  modify or suspend  the  Sweepstakes  and  select a Grand Prize Winner from  those entries received up to the cancellation/suspension date. Notification of such action will be provided on the Website. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF  CRIMINAL AND  CIVIL  LAW S  AND  SHOULD SUCH AN  ATTEMPT BE MADE, SPONSOR RESERVES  THE  RIGHT  TO  SEEK  REMEDIES  AND  DAMAGES  (INCLUDING  ATTORNEY’S FEES)  FROM ANY SUCH  PERSON TO  THE  FULLEST EXTENT OF  THE LAW ,  INCLUDING CRIMINAL  PROSECUTION.  SPONSOR'S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A W AIVER OF THESE PROVISIONS.

8. LIMITATIONS OF LIABILITY:  By participating, Entrants and Grand Prize Winners agree to release, discharge, indemnify and hold harmless the Sponsor, the Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents from and against any claims made by a Prize Winner, Entrants or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to (i) unauthorized human intervention in any part of the entry process or the Sweepstakes; (ii) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries; (iii) any injury, damage or loss  to any person  (including death)  or property of any kind, which may be caused, directly or indirectly, in whole or in part, directly or indirectly from  an  Entrant's  and/or Grand Prize Winner’s participation in the Sweepstakes, or from the receipt, use or misuse of any prize; (iv) any printing or typographical errors in any Sweepstakes-related materials; (v) stolen, lost, late, misdirected, corrupted, incomplete, or indecipherable entries; or (vi) technical failures of any kind, including but not limited to the malfunctioning of any computer, mobile device, cable, network, hardware or software.

9. DISPUTES: All Entrants agree that any and all disputes, claims, and causes of action arising out of, or connected with, the Sweepstakes or a prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York. All issues and  questions  concerning the  construction,  validity,  interpretation  and  enforceability  of these  Official Rules, an  Entrant’s rights  and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of New York, without giving effect to any choice of law or conflict of law rules  (whether of New  York  or  any  other  jurisdiction),  which  would  cause  the  application  of  the  laws  of  any jurisdiction other than New York.

12. WINNERS’ LIST REQUEST: To receive the name of the Grand Prize Winners, send a self-addressed, stamped (business size) envelope to: “Vera Bradley Oct 2024 Subscriber Giveaway” Winners List Request, PO Box 458, Newark, NY 14513. Requests must be received by December 4, 2024.

This Sweepstakes shall not be published without written permission by Sponsor.
